Legal documents can often feel formal, cold, and incredibly intimidating, but we want you to feel completely at ease here. We believe that community agreements should be written in honest, straightforward language so you always know exactly what to expect. Think of this as our shared neighborhood code—designed to keep our digital home running as smoothly as our physical ones.
This document covers how our apps, dashboards, and smart systems operate smoothly across your everyday neighborhood workflows.

By stepping inside our Platform, you are agreeing to these everyday rules. Our focus here is purely on platform usage and system integrity. The careful, secure way we protect your personal information is treated with separate, dedicated care inside our standalone Privacy Policy.
1. Definitions and Legend
To ensure these Terms of Use remain simple, transparent, and easy to read, the following capitalized terms used throughout this document shall have the meanings ascribed to them below:

2. Our Role & Local Community Governance Boundaries
The Platform provides the foundational software infrastructure that helps your residential estate, villa complex, commercial block, or smart township function with ease. Our systems bring together community enterprise resource planning (ERP) frameworks, daily financial tracking, digital gate logging, home-automation integration gateways, and configurations for smart, AI-driven CCTV alerting. While we are proud to deliver this modern, comprehensive convenience utility, it is critical to remember that the Company is strictly a digital solution and technology provider.
We are not property managers, landlords, security agencies, or your local community governing authority. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, and we do not represent or warrant that the services will be completely error-free or uninterrupted.
🏛️ Governance
We supply e-notices, accounting structures, and transparent ledger tools. Your elected committee members and estate managers retain independent, absolute authority to validate memberships, set society fees, approve balances, and enforce local bye-laws.
🛡️ Security
We provide digital gate-logging workflows, visitor passes, and CCTV alert dashboard configurations. The physical hiring, background vetting, training, and operational control of security guards remain entirely the responsibility and sole risk of the society.
🤖 Automation
We execute automated billing calculations, IoT gate interfaces, and programmatic reminders. The system relies entirely on inputs and configurations made by local society managers, and we are not liable for operational errors or hardware line failures.
✨ Convenience
We offer digital directories, booking portals, and domestic helper tracking. Directory listings are generated for resident convenience; we do not screen, endorse, or background-check these helpers, and all private interactions remain between the parties involved.
Because every neighborhood has its own unique way of doing things, all physical on-site management stays beautifully under local care. All real-world physical entry or exit clearances are completely guided by the choices of your neighborhood personnel or residents. Every single entry of service providers, guests, or visitors is either resident-initiated or guard-authorized, and the Company shall have no liability in this regard. If neighbors engage in private commercial transactions or have personal disagreements, we simply encourage resolving them kindly through your established local community channels.
3. Setup & Verification for Managing Associations
If you are setting up or registering an administrative or committee-level account on behalf of a housing society, RWA, cooperative, builder, township, or a community developer, you confirm that your team has granted you the explicit, authorized capacity to execute these Terms and register the Designated Premises.
To protect the physical and digital security of the community, all administrative accounts undergo a strict secondary verification process. Authorized personnel must provide valid corporate credentials, administrative resolutions, or satisfactory proof of official status to activate their master dashboards.
The Managing Association assumes full liability for all settings, permissions, e-notice dispatches, data exports, financial adjustments, and configurations made under their administrative panel. The Company categorically disclaims all liability for the usage, sharing, or management of information by the Managing Association's administrative users.
4. User Accounts, Eligibility & Profiles
Whenever you use the Platform's website, mobile app, or any of our digital systems, you are forming a meaningful agreement with the Company. To accept these Terms and use our platforms, you must be at least 18 years of age. In the event that a user is below the age of 18, their parent or legal guardian must read, understand, and accept these provisions on their behalf before any access is granted.
We ask that you maintain accurate, truthful, and current profile information so your community administrators can easily verify your residential unit and send you vital updates. You are responsible for keeping your login credentials, passwords, and verification tokens secure.
If you ever suspect that someone has accessed your account without permission, please let us know immediately so our teams can help you protect your profile. If you provide any information that is untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate your account.
5. Termination or Suspension of Account
You agree that We may at any time and for any reason, including but not limited to breach of the Terms or the Privacy Policy, terminate or restrict or suspend Your access to the Platform, with or without prior notice, and without liability. If there is a suspicion of untoward or illegal activity, we may suspend Your account immediately.
Upon the suspension or termination of your account, your right to access the Platform's gate management setups, digital ledgers, chat spaces, and any integrated home-automation tools ceases immediately. Any clauses regarding disclaimers, indemnity, intellectual property, corporate shield protection, and legal dispute channels shall survive such termination indefinitely.
6. Community Marketplace, Service Directories & Local Vendors
To foster a highly convenient, self-sustaining, and legally sound community ecosystem, the Platform provides digital directories and local "Society Marketplace" modules. These tools allow resident owners, tenants, neighborhood service providers (such as electricians, plumbers, home tutors, fitness trainers, or caretakers), and commercial micro-merchants to register on the Platform so residents can easily find and utilize their services.
Furthermore, housing society managing committees, RWAs, or community developers may officially appoint, recommend, or engage third-party vendors (such as water tanker suppliers, diesel vendors, pest control services, waste managers, housekeeping providers, grocery and daily essentials vendors, or other local merchants and service providers) and invite them to register on the platform for easier coordination with residents. From time to time, communities may also permit trusted vendors or small businesses to showcase products, services, or limited-time offerings within the community for the convenience and benefit of residents.
While we are pleased to offer this convenient matching directory, all registering resident merchants, commercial vendors, and RWA-appointed services must strictly adhere to the following regulatory and operational guidelines:
- Intermediary Platform Status: The Company operates solely as an intermediary technology provider. The directory and marketplace function strictly as a digital matching venue. We do not employ, contract, screen, vet, or endorse any local service providers, resident merchants, or RWA-appointed vendors, nor do we guarantee their financial stability, skill, or service delivery.
- RWA-Appointed Vendor Independence: Even where a vendor or merchant is officially appointed, recommended, or vetted by the society's managing committee or administrators, the Company is completely independent of such relationships. Any transaction, commercial arrangement, or dispute regarding quality, delay, pricing, or on-site behavior remains strictly between the resident, the RWA, and the vendor.
- Licensing, Permits & FSSAI Compliance: Every listing entity represents, warrants, and covenants that they hold all required municipal permits, commercial registrations, tax enrollments (such as GST, if applicable), and safety certifications required by local, state, or central Indian laws. Specifically, any resident or vendor preparing or selling food items explicitly represents and warrants that they hold an active registration or license from the Food Safety and Standards Authority of India (FSSAI) and have uploaded valid supporting documents to the system.
- Verification & Deletion of Inactive Listings: All marketplace merchants must cooperate with any credentials-verification processes initiated by the platform or local administrators. The Company reserves the right to suspend, terminate, or delete any local listing or service profile if licensing documents expire, if fraudulent representations are detected, or if a merchant remains inactive or receives repeated verified complaints from residents.
- Complete Liability Disclaimer & Indemnity: The Company has no control over the pricing, quality, safety, hygiene, regulatory compliance, or legality of any goods or services offered through the marketplace. The merchant or vendor assumes full civil, criminal, and financial liability for their offerings, and explicitly agrees to defend, indemnify, and hold us and the housing association harmless from any consumer claims, public health actions, or financial disputes.
7. Community Guidelines & Acceptable Content Standards
To maintain a positive, inclusive, and respectful environment across our community notice boards, discussion forums, and chat spaces, all Users are expected to follow our Acceptable Use Policy. The Platform serves diverse residential communities across India or abroad and may also be used by owners, tenants, residents, and family members living abroad or managing properties remotely. We therefore encourage everyone to be considerate of different cultures, languages, regions, beliefs, and perspectives, and to communicate with courtesy, empathy, and mutual respect at all times.
Content Standards: You promise not to upload, post, display, host, transmit, share, or publish any content or user submissions that:
- Belongs to another person or attempts to impersonate another individual, resident, guard, or representative.
- Is defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, libelous, racially or ethnically objectionable, disparaging, or otherwise unlawful.
- Harms minors in any way, encourages violence, or promotes bigotry and sectarian intolerance.
- Is patently false, misleading, or designed to publicly ridicule, mock, or criticize other users, the RWA, or the platform.
- Infringes on any third-party intellectual property rights, trademarks, copyrights, or performer's rights. You must acquire explicit permission before uploading images, videos, or designs you do not own.
- Promotes or coordinates online gambling, lotteries, or real-money games of skill, unless prior written permission from appropriate statutory authorities is explicitly provided.
Content Review, Moderation & Archival: The Company operates the Platform as an information-technology intermediary. To help maintain a safe and respectful community, our systems may automatically review content before or after it is published, and our moderation team may review content whenever necessary. As a result, certain posts, comments, media, or other content that appear to violate our policies may not be published, may have limited visibility, or may be removed from feeds without prior notice. The same may apply when content is reported by other users or identified through our moderation processes. While we strive to detect and act on inappropriate content, these reviews are performed on a best-effort basis using automated systems and, where appropriate, human review, and should not be considered a guarantee that all violations will be identified or prevented. Users may delete their own content; however, we may securely retain archived copies of deleted communications, posts, or media where reasonably necessary to comply with applicable laws, legal obligations, regulatory requirements, or law enforcement requests, without making such archived content publicly accessible.
8. Platform Security, Tech Prohibitions & System Integrity
To preserve the code security, network paths, and structural integrity of our technology, the Company enforces strict technical parameters. You shall not, and shall not permit or assist any third party to, engage in any of the following restricted actions:
- Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, translate, or discover the underlying source code, database structures, or proprietary algorithms of the Platform.
- Circumvention of Controls: Bypassing, disabling, overriding, or interfering with any digital security components, license managers, access filters, firewalls, or usage tracking rules embedded in the software.
- Automated Scraping: Using automated software, crawlers, spiders, scrapers, robots, or manual processes to systematically retrieve, harvest, index, or "mirror" company content, resident directories, visitor databases, or logs.
- Infrastructure Abuse: Imposing an unreasonable, disproportionately large, or abusive bandwidth load on our system hosting servers and networking channels.
- Malicious Code: Knowingly transmitting software viruses, Trojan horses, logic bombs, worms, spyware, or other malicious code designed to disrupt, compromise, or destroy operational performance.
- Competitive Analysis: Using the Platform, its layouts, or its documentation for competitive analysis, benchmarking, comparative product evaluations, or system performance testing intended to copy or improve any competing commercial product.
9. Community Device Custody & Operational Care
To ensure seamless daily security, gate workflows, and convenience utilities, our technical systems work hand-in-hand with physical hardware—such as computer tablets at the gate, biometric scanners, automated boom barriers, or networking routers. Because these tools are dedicated to the safety and comfort of your neighborhood, these devices are generally owned and managed by the RWAs and the community themselves, whether procured directly or provided via the Platform, the Company, or any trusted third-party vendor on the Platform to maintain smooth operations.
- Caring for Community Assets: We simply encourage the housing association, estate managers, and on-site security personnel to look after these shared devices with general care. Taking everyday precautions—such as keeping them protected from extreme weather, water damage, electrical power fluctuations, or general unauthorized tampering—ensures your community systems remain healthy and uninterrupted.
- Network and Connectivity Guidelines: To maintain real-time visitor alerts and ledger updates, some gate devices or routers may be equipped with pre-configured cellular SIM cards. We ask that the community and on-site staff ensure this connectivity is used strictly for running designated Platform software services. Keeping the network dedicated to official portal operations prevents congestion and keeps gate queues moving swiftly.
- Addressing Connection Anomalies: To safeguard the overall digital integrity and security of our shared software network, the Company monitors data transmission patterns. In the rare event that a high-traffic anomaly, cellular network misuse, or system override is detected, the Company reserves the right to rate-limit or temporarily remove these cellular services or devices to protect the Platform until we can work with your local administration team to resolve the matter.
10. Payment Gateways, Dues Collection & Chargebacks
The Platform integrates with secure, third-party payment gateway interfaces (PGI) and UPI networks to allow residents to easily pay their maintenance fees, facility deposits, and amenity bookings directly from their mobile devices. This financial routing operates under strict legal guidelines:
- PCI-Compliant Payment Gateways: All online transactions are processed through secure, Payment Card Industry Data Security Standard (PCI-DSS) compliant gateways. The Company does not store, collect, or see sensitive financial credentials such as card numbers, NetBanking passwords, or UPI PINs on our servers.
- No Entry of Card Details by Staff: To prevent financial fraud, identity theft, or PCI compliance breaches, security guards, estate managers, and administrative staff are strictly prohibited from manually inputting credit card, debit card, or banking details on behalf of any resident or visitor. All digital transactions must be initiated and authorized directly by the cardholder on their personal device.
- Chargeback Allocation & Defense: A chargeback occurs when a payer disputes a transaction with their bank or card company, resulting in a payment reversal. The Company is strictly a technical intermediary and is not a party to any financial agreements between the RWA/Association and the resident.
- Mandatory Record Keeping: Managing Associations are solely responsible for maintaining robust physical and digital documentation (such as registered society bye-laws, general body minutes, individual resident financial ledgers, and signed membership registries) to prove that all levied dues (including monthly maintenance, renovation deposits, or move-out fees) are valid and collectable. In the event of a chargeback claim, the card network will reverse the funds from the Subscribing Entity's account, and the Subscribing Entity must bear the financial loss if they fail to provide adequate documentation to defend the dispute.
- Convenience Fee Mechanics: To offset the transaction processing interchange fees charged by card brands and processors, a convenience fee may be applied to online payments. In compliance with payment network rules, this fee is channel-specific, is displayed transparently as a separate line item on the receipt before transaction confirmation, and the Managing Association may choose to provide residents with one or more alternative, no-fee payment options—such as bank NEFT/IMPS transfers, UPI, or payments made directly at the management office—wherever they consider it appropriate and convenient.
11. Liability Limits & Indemnification
Disclaimer of Warranties: The Company disclaims all warranties of any kind, whether express, statutory, or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted, secure, or bug-free software and Platform operations.
Strict Limitation of Liability: To the maximum extent permitted by applicable Indian laws, the legal liability and financial caps of the Company under contract, tort, negligence, or strict liability shall be governed strictly by the terms, limits, and provisions set forth in the respective bilateral Service Agreements, Order Forms, or customized contracts executed between the Company and the Managing Association. Under no circumstances shall the Company be liable for any indirect, incidental, special, exemplary, or consequential damages, including but not limited to loss of profits, data loss, community security breaches, neighborhood disputes, on-site gate security failures, or personal injury.
Corporate Shield & Individual Protections: You explicitly agree that your sole legal recourse under these Terms is exclusively against the Company as a corporate entity. You hereby waive any right to bring, and covenant never to assert, any personal claims, civil actions, or legal proceedings against any individual directors, officers, employees, partners, suppliers, or affiliates associated with the company.
Comprehensive Indemnity: You agree to defend, indemnify, and hold harmless the Company from and against any and all claims, direct or consequential damages, liabilities, costs, and litigation expenses arising directly or indirectly out of:
- Any community content, discussions, media, or notices posted by you that violate third-party intellectual property, copyrights, or acceptable use rules.
- On-site operational choices, physical access clearances, or the acts and omissions of appointed security guards and helpers.
- Any unauthorized exposure, leakage, or misuse of resident, guest, or visitor data occurring after such data has been accessed, exported, or handled by local administrators via the administrative control panel.
- Any municipal, tax, or licensing violations committed by registered vendors, local service providers, or community marketplace participants.
Force Majeure Protections: The Company shall not be liable for any failure or delay in performing its Platform obligations due to causes beyond its reasonable control, including natural disasters, acts of God, national grid failures, server host outages, localized labor disputes, strikes, or regulatory changes.
Flexible Contractual Alignment: Any legal action, claim, statute of limitations, or dispute resolution timelines arising out of or in connection with the Platform's services shall be aligned with, and governed by, the customized timelines and terms defined inside the respective executed bilateral agreements between the Company and the Managing Association, or as otherwise provided under applicable statutory limitation laws.
12. Governing Law, Venue & Open Lines
These Terms of Use are governed by and construed in accordance with the laws of India. Any legal action, dispute, or difference arising out of this agreement or platform usage shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.

Community updates
Staying informed helps you take part in your community. HiNivaas supports updates about society announcements and voting, service or facility disruptions, maintenance dues, payments, and other matters relevant to your account or home.
The policies of the society where you own a unit or live guide the relevance and timing of updates. Delivery respects your saved channel choices and the permissions required by law and the messaging provider.
Updates may use available app, push, SMS, WhatsApp, email, or phone services, depending on the matter and your communication preferences.
Saving a channel as enabled gives HiNivaas permission to send these updates on that channel. Switching it off and saving withdraws that permission. App and push preferences are managed separately.
You can turn off SMS, WhatsApp, or both in your personal Notification Preferences and save at any time. Use the available settings or contact us to manage other communication preferences.
Message frequency depends on account and society activity. Message and data rates may apply. These choices cover service updates only; marketing requires separate permission.
- Society responsibilities: Binaried Technologies Private Limited provides the HiNivaas technology. Your Managing Association is responsible for the content, accuracy, intended recipients, and lawful issue of its notices, including any official notice method required by its bye-laws or applicable law. Its communication policy operates within the channel choices and permission requirements described above.
- Staying informed: Turning off reminders may mean you miss time-sensitive information. It does not change applicable payment obligations or deadlines. Society rules and voting deadlines continue to apply, so please check the Platform and official society notice sources as appropriate. This does not limit rights or responsibilities that cannot lawfully be excluded.
- Stopping messages: Switch off SMS or WhatsApp in Notification Preferences and save. For SMS where replies are supported, your messaging provider also handles STOP to unsubscribe. This provider opt-out is separate from your saved app preference, and turning that preference on does not clear a provider block. Reply START where supported or contact us for assistance.
- Help: For SMS where replies are supported, your provider handles HELP. You can also email hello@hinivaas.com. For WhatsApp or destinations that do not support replies, use account preferences or email.
- Delivery: Availability depends on your provider, destination, and the service. Wireless carriers are not liable for delayed or undelivered messages. Messages should not be relied upon for emergencies.
- Separate communications: Authentication codes you request and notices required by law are handled separately, using permitted channels and any permissions those channels require. Describing an update as important or urgent does not override a withdrawn service-message permission.
